Voting & governance

How decisions get made

Voting power follows equity (one unit = one vote). Most decisions require a simple majority (โ‰ฅ51%); supermajority decisions (amending the operating agreement, admitting new members, dissolution) require โ‰ฅ75%.

Practical implication: Penny alone holds 55% (simple majority) but cannot pass supermajority items unilaterally. Tim and Arthur together hold 45% โ€” enough to block supermajority actions. The structure was designed to ensure no member can be steamrolled on fundamental changes.

Detailed voting categories, quorum requirements, and notice procedures are documented in the Operating Agreement (Doc 01).
